Important risk warning: Conditional Orders, Bot Services and API Trading are automated and speculative. By signing with your own wallet, you delegate execution rights to a Gas Fee Execution Wallet which, once funded with SOL, submits the trades you have configured without a separate confirmation for each trade. You do not transfer custody of your assets, and the Gas Fee Execution Wallet cannot withdraw them. Automated trading may cause partial or total loss of exposed assets. No order, trigger, price, execution, return or protection from loss is guaranteed.
1. Scope and Acceptance
1.1These Automated Trading, Orders and API Terms and Conditions (the “Terms”) govern your access to and use of the Trading Automation Services supplied by Rockwell Technologies Ltd. (“Rockwell”) through or in connection with the FBYT frontend and FBYT smart contracts. They supplement any general terms, privacy notice, protocol disclosures, Vault terms and
interface terms that apply to you.
1.2You accept these Terms when you tick the acceptance box, create or activate a Conditional Order or Bot Service, generate or use API Credentials, connect a Customer Bot, or sign any related wallet transaction. If you do not agree, do not use the Trading Automation Services.
1.3A wallet signature, API-authenticated instruction or other affirmative activation constitutes your electronic instruction to perform the configured action and, where applicable, your delegation of execution rights to the Gas Fee Execution Wallet in accordance with
Section 9. Where mandatory law gives you rights that cannot be excluded, those rights prevail over inconsistent language in these Terms.
2. Service Architecture and Separate Roles
The service combines separate technical and legal layers. The fact that these layers work together does not make them a single entity or make one party responsible for every layer.
2.1FBYT smart contracts. The FBYT smart contracts are blockchain programs used to create, route, authorize, record or settle transactions. The FBYT Smart Contracts and Protocol are software tools and they are not a contracting party, custodian, broker, fiduciary or guarantor. They automatically execute programmed instructions and transactions submitted or authorised by users.
2.2FBYT frontend. The FBYT frontend is a user interface operated by Pangea Technologies S.A. (the “frontend operator”), a legal entity separate from Rockwell. The frontend operator provides access to the interface under its own terms and is not the provider of Rockwell’s Conditional Orders, Bot Services or API Services unless expressly stated in writing.
2.3Rockwell. Rockwell supplies automation, conditional-order, bot-execution and API-access technology that interacts with the FBYT frontend and/or the FBYT smart contracts. As part of this service, the system generates and operates a dedicated Gas Fee Execution Wallet that signs and submits transactions under the execution rights delegated by the Manager. Rockwell does not acquire title to or custody of any Vault assets and cannot withdraw or transfer them out of the Vault.
2.4Third-party infrastructure. Transactions may depend on Solana, RPC providers, validators, DEXs, aggregators, liquidity pools, price feeds, tokens, hosting providers and other third parties. Their services are outside Rockwell’s and the frontend operator’s direct control.
No partnership, agency, employment, fiduciary relationship or joint venture is created among Rockwell, the frontend operator, the FBYT protocol, you or a third party merely because their technologies interoperate. Each disclosed entity remains responsible for its own obligations to the extent required by applicable law.
3. Definitions
“API Credentials” means an API key, secret, token, signature method, IP allowlist or other credential issued by Rockwell for authenticated access to the API Services.
“API Services” means Rockwell’s interfaces that permit an authorized Customer Bot or application to submit instructions to services operating with the FBYT smart contracts or frontend.
“Bot Services” means automated strategies made available by Rockwell, including dollar-cost averaging (DCA), Grid Bot and Rebalancing, together with any additional strategy clearly identified before activation.
“Customer Bot” means any bot, algorithm, script, application or third-party system (including any AI agent connected through a Model Context Protocol (MCP) server) selected, written, controlled or connected by you through API Credentials. A Customer Bot is not a Rockwell Bot Service merely because it uses Rockwell’s API Services.
“Gas Fee Execution Wallet” means the dedicated Solana wallet generated by the system for a Manager or relevant Vault and used by the automated execution infrastructure to sign and submit authorized transactions and pay applicable Solana network, priority and related transaction fees. It holds only the execution rights delegated by the Manager and cannot withdraw or transfer assets out of a Vault.
“Manager” means the user or authorized Money Manager who activates or controls automated trading for the relevant wallet or Vault and supplies the applicable instructions and parameters.
“Conditional Order” means a Limit Order, Take Profit Order, Stop Loss Order or Recurring Order configured through the service. A Conditional Order is an instruction subject to activation conditions; it is not a promise that a trade will execute.
“Trading Automation Services” collectively means Conditional Orders, Bot Services and API Services.
“User Authorization” means any wallet transaction, smart-contract approval, standing execution instruction, Gas Fee Execution Wallet permission, delegated authority, session key, API-authenticated instruction or other authorization used to permit the configured action.
4. Categories of Trading Automation Services
4.1Conditional Orders. Limit Orders seek execution at or on terms related to a selected limit. Take Profit and Stop Loss Orders seek execution after a configured trigger. Recurring Orders seek repeated execution at a chosen interval. Triggers may be evaluated by off-chain infrastructure, on-chain data or both. A trigger price is not necessarily the execution price.
4.2Rockwell Bot Services. DCA, Grid Bot and Rebalancing are rules-based tools that submit transactions according to parameters selected by you. Rockwell provides the automation technology; you select the assets, amounts, timing, price ranges, allocations, frequency, slippage and other available settings and remain responsible for those selections.
4.3Customer Bots using API Services. You may connect your own Customer Bot using API Credentials issued by Rockwell. You are solely responsible for the Customer Bot’s code, logic, data sources, hosting, cybersecurity, legal compliance, strategy, instructions and results, including where the Customer Bot was written or operated by a third party selected by you.
4.4Common execution process. Conditional Orders, Rockwell Bot Services and Customer Bot instructions use the automated execution process described in
Section 9. When the applicable conditions are met and sufficient SOL is available for fees, the Gas Fee Execution Wallet may sign and submit the resulting transaction through the FBYT smart contracts without a separate signature from the Manager for that transaction, in reliance on the delegation the Manager has signed with its own wallet.
4.5No discretionary management. Signing and submitting a transaction on behalf of the Manager is technical execution of the Manager’s standing instructions. Unless Rockwell separately agrees in a signed document, Rockwell does not choose investments, alter a strategy in the Manager’s best interests, manage a portfolio on a discretionary basis or promise to monitor positions.
5. Eligibility and User Representations
5.1You may use the Trading Automation Services only if you are at least 18, have legal capacity, control the relevant wallet or have valid authority from its owner, and are legally permitted to use the service in every applicable jurisdiction.
5.2You represent that your activity and funds are lawful; you are not a sanctioned or prohibited person; you will comply with applicable anti-money-laundering, sanctions, market-abuse, tax and reporting rules; and you have sufficient technical and financial knowledge to understand automated crypto-asset trading and the possibility of total loss.
5.3If you act for a company, Vault, fund, Money Manager, client or other person, you represent that you have all required authority, approvals, disclosures and permissions and that the automation is consistent with the applicable mandate and risk limits.
5.4Where you use the Trading Automation Services for a Vault holding assets deposited by Investors, you must ensure that such use and any related fees are consistent with the terms of that Vault and are disclosed to its Investors in the interface. Automated trading does not affect the exclusive right of each Investor to withdraw its assets in accordance with the terms of the Vault.
6. Your Instructions, Parameters and Responsibility
6.1You are solely responsible for each asset, amount, pair, allocation, limit, trigger, interval, price range, slippage setting, fee setting, API permission and other parameter you select or allow a Customer Bot to select. You must review all settings before activation and after any change.
6.2You accept full responsibility for the financial results of properly processed instructions, including transactions signed by the Gas Fee Execution Wallet under your standing instructions, market losses, missed opportunities, unintended strategy outcomes, fees and tax consequences. Rockwell, the frontend operator and the FBYT protocol do not guarantee that a parameter is suitable, complete, internally consistent or appropriate for your objectives.
6.3Interface labels, examples, default values, simulations, backtests, estimated yields, profit-and-loss displays and educational materials are informational only. They may be delayed, incomplete or based on assumptions and are not investment advice or a guarantee of future results.
7. Execution, Triggers and Order Limitations
7.1A Conditional Order or Bot instruction is a request for automated execution, not a guaranteed order or guaranteed result. It may fail, expire, remain pending, execute partially, execute more than once following retries, execute later than expected or execute at a materially different price.
7.2A Limit Order does not guarantee execution merely because a displayed market price reaches the limit. A Stop Loss Order does not guarantee loss limitation. A Take Profit Order does not guarantee the displayed profit. A Recurring Order may continue until it is successfully cancelled or reaches its configured end condition.
7.3Execution may be affected by liquidity, price impact, slippage, priority and network fees, transaction ordering, MEV, front-running, oracle or price-feed differences, stale data, RPC failures, congestion, blockhash expiry, program errors, token restrictions, pool conditions and smart-contract requirements.
7.4Rockwell may apply allowlists, position or transaction limits, frequency limits, cooldowns, rate limits, circuit breakers, maintenance windows or emergency pauses. These controls may reject or delay an instruction and are not a guarantee against loss.
8. API Credentials and Customer Bots
8.1API Credentials are personal to the account or organization for which they are issued. You must keep them confidential, use the narrowest available permissions, apply IP allowlisting and other security controls where available, rotate them periodically and revoke them immediately if compromise is suspected.
8.2You must not publish, share, sell, sublicense or embed API Credentials in public code, client-side applications, repositories, screenshots or communications. You are responsible for instructions authenticated with your API Credentials until Rockwell receives and implements a valid revocation, except to the extent mandatory law provides otherwise.
8.3A valid API-authenticated instruction may cause the Gas Fee Execution Wallet to sign and submit a transaction without an additional wallet confirmation. Compromise or misuse of API Credentials may therefore cause trading losses and consumption of the SOL held for transaction fees.
8.4You must test every Customer Bot with limited amounts before broader use, implement duplicate-order protection, rate limits, balance checks, slippage and price-impact controls, logging, alerts, kill switches and error handling, and continuously monitor its behavior. Rockwell does not audit, certify, debug or supervise Customer Bots.
8.5You must not use the API Services to bypass controls, probe or exploit systems, overload infrastructure, manipulate markets, wash trade, access another user’s resources, distribute malware or conduct unlawful activity. Rockwell may throttle, suspend or revoke API Credentials where reasonably necessary for security, misuse, legal compliance or service integrity.
8.6API availability, schemas, limits, endpoints and supported features may change. You are responsible for maintaining compatibility and for stopping a Customer Bot when an API is degraded, deprecated or changed.
9. How Automated Trading and Transaction Signing Work
9.1Creation of the Gas Fee Execution Wallet. When a Manager enables automated trading by signing a delegation with its Connected Wallet, the system generates a dedicated Gas Fee Execution Wallet for the Manager or relevant Vault. This is separate from the Manager’s Connected Wallet. Rockwell operates the signing key of the Gas Fee Execution Wallet solely to exercise the execution rights delegated by the Manager for the purposes described in these Terms.
9.2Funding with SOL. Automated execution does not begin unless the Manager deposits sufficient SOL into the Gas Fee Execution Wallet. The SOL is used to pay Solana network fees, priority fees and other disclosed transaction-level costs associated with submitting Conditional Orders, Bot Service transactions and Customer Bot instructions. The Manager is responsible for funding and monitoring the SOL balance.
9.3Standing instruction and signing on behalf of the Manager. By activating a Conditional Order, selecting a Rockwell Bot Service or enabling a Customer Bot through API Credentials, the Manager gives a standing instruction and delegates execution rights for the system to use the Gas Fee Execution Wallet to sign and submit transactions on the Manager’s behalf when the configured conditions are satisfied. The Gas Fee Execution Wallet may sign each resulting transaction without requesting a separate wallet confirmation from the Manager.
9.4Sources of execution instructions. A transaction signed by the Gas Fee Execution Wallet may result from: (a) a Conditional Order created by the Manager, including a Limit, Take Profit, Stop Loss or Recurring Order; (b) a DCA, Grid Bot, Rebalancing or other automated strategy configured by the Manager; or (c) an instruction submitted by the Manager’s Customer Bot using valid API Credentials.
9.5Interaction with FBYT smart contracts. The Gas Fee Execution Wallet submits transactions through or in connection with the FBYT smart contracts and the permissions configured for the relevant Vault or account. Its signature does not give Rockwell beneficial ownership of, custody of, or any right to withdraw the managed assets. Assets deposited into a Vault may be withdrawn only by the wallet that deposited them. The actions it can perform are determined by the applicable smart-contract permissions, program IDs, asset restrictions and other technical controls.
9.6Insufficient SOL and failed transactions. If the Gas Fee Execution Wallet has insufficient SOL, an order or strategy may remain active but transactions may not be submitted or confirmed. The system may pause or reject execution until the wallet is replenished. Network and priority fees may still be charged for submitted transactions that fail, expire or do not achieve the Manager’s intended trading result.
9.7Scope of authority. The Manager authorizes technical signing and submission only for instructions generated through the enabled Trading Automation Services. This authority does not permit Rockwell to select a strategy independently, change the Manager’s parameters for investment reasons, or use the Gas Fee Execution Wallet for another Manager’s transactions.
9.8Stopping execution. Cancelling one order does not necessarily stop another order, Bot Service or Customer Bot. The Manager must separately cancel active Conditional Orders, stop each automated strategy, disable the Customer Bot or revoke its API Credentials and, where applicable, disable or revoke the Gas Fee Execution Wallet’s smart-contract authorization. Actions already signed, submitted or confirmed may not be stopped.
9.9Wallet and credential security. The Manager must verify the displayed Gas Fee Execution Wallet address before depositing SOL. The Manager must never disclose a seed phrase, private key, password, hardware-wallet PIN or unrestricted wallet signing key. API Credentials are not wallet private keys, but compromised API Credentials may cause the Gas Fee Execution Wallet to sign harmful transactions within the permitted scope.
10. Material Risk Disclosure
10.1Important: You acknowledge that these risks are inherent in the services and accept them when choosing to proceed. No risk-control feature eliminates the need for your own monitoring, testing and judgment.
- (a)
Market and loss risk: crypto-assets can be extremely volatile, illiquid, manipulated or become worthless; you may lose all assets exposed to the service.
- (b)
Automation and configuration risk: incorrect parameters, coding errors, retries, race conditions, stale state, conflicting orders or unexpected market behavior may produce unintended transactions.
- (c)
Conditional Order risk: triggers may be missed or delayed, and the execution price may be worse than the trigger, stop or limit displayed to you.
- (d)
Grid, DCA and rebalancing risk: repeated trading can compound losses and fees, buy into a falling market, sell into a rising market, increase exposure or deviate from the intended allocation.
- (e)
Customer Bot risk: defects, insecure hosting, compromised dependencies, inaccurate data or malicious third-party code may submit harmful, excessive or unauthorized instructions using your API Credentials.
- (f)
Gas Fee Execution Wallet risk: a compromised execution signing key, software defect or incorrect authorization may cause the wallet to sign unintended transactions or consume its SOL balance within the permissions technically available to it.
- (g)
Fee-balance risk: insufficient SOL may prevent or delay execution, cancellation or revocation. Submitted or failed transactions may consume network or priority fees without producing the intended trade.
- (h)
Authorization and credential risk: a compromised wallet approval, delegate, session key or API Credential may be misused up to its technical permissions before revocation becomes effective.
- (i)
Smart-contract and protocol risk: FBYT smart contracts, integrated programs, tokens, DEXs, routers or pools may contain vulnerabilities, design defects, governance risks or exploitable behavior.
- (j)
Liquidity, routing and slippage risk: insufficient liquidity, price impact, routing changes or malicious pools may cause poor or failed execution.
- (k)
Oracle and data risk: price feeds and market data may be delayed, unavailable, manipulated or different from executable prices.
- (l)
Network and infrastructure risk: Solana, RPC providers, validators, indexers, APIs, hosting systems, devices or internet connections may fail, congest or be attacked.
- (m)
Transaction-ordering and MEV risk: transactions may be observed, reordered, inserted, delayed or front-run, adversely affecting execution.
- (n)
Token risk: assets may be counterfeit, mutable, mintable, freezable, restricted, bridged, depegged or controlled by malicious or insolvent parties.
- (o)
Regulatory and tax risk: laws, classifications, access restrictions and reporting obligations may change or apply differently to you, Rockwell, the frontend operator or a particular asset.
- (p)
Irreversibility risk: confirmed blockchain transactions generally cannot be cancelled, reversed or recovered by Rockwell or the frontend operator.
11. Monitoring, Cancellation and Revocation
11.1You must continuously monitor active Conditional Orders, Bot Services, Customer Bots, the Gas Fee Execution Wallet and its SOL balance, allowances, API logs, positions and transaction history. Automated trading is not a set-and-forget service.
11.2You must cancel instructions, stop bots, revoke API Credentials and revoke on-chain permissions promptly when you no longer use them or detect unexpected activity. These may be separate actions. Cancellation or revocation is effective only after the relevant system accepts it and, where applicable, the transaction is confirmed on-chain. Already submitted or confirmed transactions may not be stopped.
11.3You are responsible for depositing and maintaining sufficient SOL in the Gas Fee Execution Wallet for executions, cancellations and revocations. A lack of SOL may prevent an instruction or revocation from completing, while failed or expired submitted transactions may still consume fees.
12. Fees and Costs
12.1You authorize the use of SOL deposited in the Gas Fee Execution Wallet to pay disclosed Solana network fees, priority fees and related transaction-level costs. You also authorize all other fees and costs disclosed through the interface or API, which may include Rockwell fees, frontend fees, protocol fees, DEX or liquidity-provider fees, token-account costs, third-party fees, price impact and slippage.
12.2Fee estimates are not guaranteed. Repeated strategies, retries, recurring transactions and small order sizes can make fees significant relative to the amount traded. You are responsible for evaluating total expected and actual costs.
13. Third-Party Services and Integrations
13.1The Trading Automation Services may route through or rely on independent third-party services. Their terms, privacy practices, availability, security and performance may apply separately. Rockwell and the frontend operator do not guarantee any third party’s continued availability, solvency, accuracy or conduct.
13.2If you connect a third-party Customer Bot, data service or application, you authorize the data and instruction flows necessary for that connection and assume responsibility for selecting and supervising that third party.
14. No Investment Advice, Fiduciary Duty or Guaranteed Return
14.1Rockwell, the frontend operator and the FBYT protocol do not provide personalized investment, legal, tax or accounting advice through these services and do not act as your fiduciary, asset manager, broker or agent merely by providing automation technology.
14.2No strategy name, example, default, metric, ranking, backtest, simulation or communication is a recommendation or promise. Past, hypothetical or simulated performance does not predict future results. Obtain independent professional advice where appropriate.
15. Security Responsibilities
15.1You must secure your Connected Wallet, devices, accounts, API Credentials and Customer Bot infrastructure; verify URLs, program IDs and the Gas Fee Execution Wallet address before funding; maintain current software; review transaction details; enable available authentication and allow lists; and avoid suspicious links or unsolicited support messages.
15.2Rockwell will apply the security controls it discloses for the Gas Fee Execution Wallet signing infrastructure. You acknowledge that no key-management system is risk-free and accept the risk of compromise, software defects or unauthorized signing, except to the extent a loss is directly caused by Rockwell’s fraud, wilful misconduct, gross negligence or breach of a duty that cannot lawfully be excluded.
15.3Rockwell and the frontend operator will never request your seed phrase or private key. You bear the risk of loss caused by your disclosure of credentials, compromised systems, insecure Customer Bots or fraudulent transactions you sign, except to the extent the loss was directly caused by a breach of a non-excludable duty owed by the relevant service provider.
16. Compliance, Restrictions and Taxes
16.1You must not use the services for unlawful activity, sanctions evasion, fraud, theft, market manipulation, wash trading, exploitation of vulnerabilities or interference with any system. Access may be restricted by jurisdiction, asset, user type or risk policy.
16.2You are responsible for determining and paying all taxes, duties and reporting obligations arising from your transactions. No party calculates or withholds them unless expressly stated or required by law.
16.3The regulatory classification of order execution, automation and API activity depends on the service design, jurisdiction and facts. Nothing in these Terms represents that any service is licensed, exempt or available in every jurisdiction; and you are responsible for confirming that your use of the services is permitted where you are located.
17. Data and Privacy
17.1Blockchain activity is public and may be permanently accessible. Wallet addresses, approvals, orders and transactions may be analyzed by third parties. Rockwell and the frontend operator may process wallet addresses, order parameters, transaction data, device information, API logs and technical data to provide, secure, monitor and improve their respective services, comply with law and investigate incidents.
17.2Each entity’s processing is governed by its own privacy notice. Before publication, the parties must accurately identify their roles, data flows, retention periods, processors and international transfers. Rockwell acts as an independent controller of the personal data it processes in providing the Trading Automation Services.
18. Suspension, Changes and Termination
18.1Rockwell may suspend or limit Trading Automation Services or API Credentials where reasonably necessary for security, maintenance, legal compliance, provider failure, abnormal activity, misuse or protection of users and systems. Urgent action may be taken without advance notice where notice is impracticable.
18.2Features, supported assets, strategies, endpoints, limits and integrations may be changed, deprecated or discontinued. Material contractual changes will be communicated as required by law, and renewed consent or authorization will be obtained where required.
18.3You may stop using the services at any time, but you remain responsible for separately cancelling active instructions, stopping Customer Bots, revoking API Credentials and disabling or revoking the Gas Fee Execution Wallet’s applicable on-chain permissions. Termination does not reverse transactions or eliminate accrued obligations.
19. Disclaimer of Warranties
19.1To the maximum extent permitted by law, the Trading Automation Services are provided “as is” and “as available”. Rockwell does not warrant uninterrupted, secure or error-free operation; compatibility with every Customer Bot; execution at a particular time or price; achievement of an objective; or prevention of unauthorized use or loss.
19.2The frontend operator and any entity responsible for the FBYT smart contracts provide their respective components subject to their own terms. Nothing in these Terms excludes warranties, remedies or consumer rights that cannot lawfully be excluded.
20. Allocation of Responsibility and Limitation of Liability
20.1To the maximum extent permitted by law, you assume the risks and financial consequences arising from: your strategy and parameters; transactions signed by the Gas Fee Execution Wallet in accordance with your standing instructions; properly authenticated API instructions; your Customer Bot and third-party providers; your failure to maintain sufficient SOL; the security or disclosure of your API Credentials and wallet credentials; market movement; slippage; liquidity; network conditions; third-party protocols; and your failure to monitor, cancel or revoke access.
20.2To the maximum extent permitted by law, Rockwell is not liable for indirect, incidental, special, punitive or consequential loss; loss of profit, opportunity, goodwill or data; market or trading loss; or loss caused by a Customer Bot, third party, blockchain network, smart contract, wallet compromise or instruction not resulting from Rockwell’s breach.
20.3Subject to liabilities that cannot lawfully be limited, Rockwell’s aggregate liability arising from the Trading Automation Services will not exceed the greater of (a) fees paid directly to Rockwell for the affected service during the 6 months before the event giving rise to the claim and (b) USD $100.
20.4Nothing excludes or limits liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any other liability that cannot legally be excluded or limited. The responsibility of the separate frontend operator is governed by its terms and mandatory law.
21. Indemnity
21.1To the extent permitted by law, you agree to indemnify Rockwell and its affiliates, officers, employees and contractors against third-party claims, losses and reasonable costs arising from your unlawful use, breach of these Terms, infringement of another person’s rights, Customer Bot, misuse of API Credentials, or instructions given without authority, excluding losses caused by Rockwell’s own breach or misconduct.
22. General Legal Terms
22.1These Terms, the applicable service configuration and Rockwell privacy notice form the agreement between you and Rockwell concerning the Trading Automation Services. Separate terms govern the frontend, FBYT smart contracts, wallets, DEXs and other third parties.
22.2If a provision is invalid or unenforceable, it will be limited only to the minimum extent necessary and the remainder will continue. Failure to enforce a provision is not a waiver. Provisions concerning risk, liability, indemnity, disputes, taxes and records survive termination.
22.3These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of Panama. The courts of Panama city have exclusive jurisdiction over any dispute arising out of or in connection with these Terms. If you are a consumer, this does not deprive you of the protection of the mandatory laws of, or of your right to bring proceedings in, your country of residence.
